Caunsel Feature Service Agreement

1. Acceptance of Terms

By tapping "I Accept" or by accessing or using any feature of the Caunsel platform — including but not limited to the AI Legal Advisor (text and voice), AI Legal Expert Panel Review, Live Fact Checker, Live Video Consultations with Lawyers, post-consultation direct messaging, Legal Email, and Tasks & Reminders ("Features") — you ("User") agree to be legally bound by this Feature Service Agreement ("Agreement") with Caunsel LLC ("Company", "we", "us", "our"). If you do not agree, do not use the Features.

This Agreement supplements and incorporates the Caunsel Terms of Use and Privacy Policy, which continue to apply in full.

2. No Legal Advice — Critical Disclaimer

Nothing provided through any Caunsel feature constitutes legal advice, a legal opinion, licensed legal counsel, or an appearance by Caunsel on your behalf. Specifically:

• AI Legal Advisor (Text and Voice): Responses are generated by artificial intelligence models and are for general informational and self-help purposes only. They may be incomplete, inaccurate, out of date, or inapplicable to your jurisdiction or specific facts.
• AI Legal Expert Panel Review: The deliberation and consensus outputs are entirely AI-generated. They do not represent the opinion of any real lawyer, judge, or legal expert.
• Live Fact Checker: Results are drawn from publicly available sources and may not reflect current law, recent case decisions, or the law applicable in your jurisdiction.
• Live Video Consultations: Lawyers on the platform are independent contractors, not employees of Caunsel. Any advice given during a consultation is the lawyer's sole responsibility. Caunsel does not supervise, verify, or endorse the advice provided.
• Legal Email: Drafts are AI-assisted and sent only if you confirm. You are the sole sender. Caunsel is not responsible for content, recipients, delivery, or whether an email has any legal effect.
• Tasks & Reminders: Automated reminders are a convenience only and may fail, be late, or be wrong. You alone are responsible for every deadline, hearing, and filing.
• Document Vault, Cases, and related tools: These help you store, organise, and prepare your own materials. They are not a law-office file, and Caunsel does not review or take responsibility for what you store or later file.

No use of any Feature creates an attorney-client relationship, triggers legal professional privilege, or imposes any duty on Caunsel. You remain free to retain a licensed attorney at any time. Connecting with an independent lawyer on the Platform is optional and is not required to use self-help Features.

3. Self-Help, Self-Preparation, and Self-Representation — Your Acknowledgment

By tapping "I Accept", you confirm that you understand and agree to all of the following:

• Caunsel is a self-help toolkit, not a law firm. Caunsel is an independent, automated self-help software platform and marketplace. It does not practise law. I am using it to look up public information, organise my matter, prepare my own documents and correspondence, and prepare to handle my own case where the law allows me to represent myself.
• I act for myself. Any filing, strategy, negotiation, hearing, or other step I take is taken by me, on my own behalf. Caunsel is not my lawyer, agent, or counsel of record and will not file, serve, or appear for me.
• I may represent myself. Where applicable law allows me to appear in my own matter, I may use Caunsel as the tool to prepare for that. Self-representation is my choice and my risk. Courts may hold me to the same rules as licensed counsel.
• Outputs are not certified legal work. AI answers, panel reports, drafts, checklists, and similar outputs are informational and organisational aids. They are not legal advice, a legal opinion, or court-ready work product. I will not present them as Caunsel's, a lawyer's, or my employer's filing or appearance.
• I assume all risk of the outcome. I am solely responsible for deadlines, accuracy, legal sufficiency, and the result of my matter — including if Platform information is wrong, incomplete, or I choose not to hire a lawyer.
• Independent counsel is optional. I may connect with an independent, verified human lawyer in the app if I want formal representation. Until I independently retain a lawyer, I remain a self-represented user. Caunsel does not guarantee any lawyer or any outcome.

4. Workplace / Employer-Sponsored Access

If my access is provided by an employer, benefits plan, or other organisation ("Employer"), I further acknowledge:

• Caunsel is a voluntary, independent self-help resource. It is not my Employer's legal department, a corporate law firm, or employer-sponsored legal representation.
• My Employer does not monitor, oversee, review, endorse, or guarantee the information, drafts, or attorney consultations inside the app.
• My use of Features is private from my Employer. Employer is not given the contents of my chats, vault, or consultations. Any reporting to Employer is limited to high-level, aggregated usage metrics, not what I am researching.
• My Employer is not a party to my matter and is not liable for strategies, filings, disputes, court outcomes, or losses from my voluntary use of Caunsel. I will not name my Employer as a party to a dispute between me, Caunsel, or a network attorney arising from that use, except to the extent non-waivable law requires otherwise.
• I remain entirely free to seek independent legal counsel outside Caunsel for any matter, including workplace matters.

5. Description of Features

5.1 AI Legal Advisor (Text Chat) — An AI-powered chatbot that responds to general legal questions in text form. Outputs are auto-generated.

5.2 AI Legal Advisor (Voice Chat) — A real-time voice interface allowing spoken legal questions and spoken AI responses, powered by third-party large language model services. Audio may be transcribed for processing.

5.3 AI Legal Expert Panel Review — Five AI personas independently analyse your query and produce a consensus report, available in text and audio. All personas and outputs are entirely AI-generated.

5.4 Live Fact Checker — A real-time research tool that cross-references legal claims against available databases and public sources. Results are indicative only.

5.5 Live Video Consultations — Connects users with registered, independently verified lawyers via live video call facilitated through our real-time communication provider. Caunsel does not participate in, record, or monitor consultations.

5.6 Post-Consultation Direct Messaging — Allows continued communication between a user and a lawyer following a mutually initiated connection after a completed consultation. Messages consume subscription credits as disclosed in-app.

5.7 Legal Email — May draft correspondence and, only if you confirm send, transmit it through our email infrastructure. You are the sole sender and are solely responsible for content, recipients, and legal effect. Caunsel does not review emails before they go out and is not a party to them. Delivery and legal sufficiency are not guaranteed.

5.8 Tasks & Reminders — May extract dates from chat, voice, or ambient listening and attempt to notify you by push and/or email. This is a convenience aid only. Notifications may be late, wrong, or never delivered. You remain solely responsible for all deadlines, hearings, and filings.

6. AI-Generated Content — Additional Risks

You expressly acknowledge and accept that:

• AI models can produce hallucinations, errors, biased outputs, and legally incorrect statements;
• AI outputs do not take into account confidential facts you have not disclosed, local procedural rules, or recent legislative changes;
• AI outputs are not peer-reviewed, professionally checked, or validated by any human legal expert before delivery;
• You may use AI-generated information to prepare your own matter, including high-stakes matters (immigration, criminal, court filings, contracts, real estate, family, employment, and similar). Doing so is self-help at your own risk. Those outputs are not attorney work product;
• The Company expressly disclaims all liability for losses arising from reliance on AI-generated content or from using Features to self-prepare or self-represent.

7. Independent Lawyers; No Endorsement

Lawyers registered on Caunsel are independent professionals. Caunsel:

• Does not employ, supervise, direct, or control any lawyer on the platform;
• Does not verify current bar membership, licensing status, or disciplinary history on a continuous basis;
• Does not guarantee the quality, competence, or accuracy of any advice given during a consultation;
• Is not a law firm and does not practise law in any jurisdiction;
• Accepts no responsibility for the outcome of any legal matter where a Caunsel lawyer was consulted.

Any lawyer-user interaction facilitated through the platform is solely between the user and the lawyer. Caunsel is a technology intermediary only.

8. Credits, Subscriptions, and Payments

Features consume credits allocated under your subscription plan. Credits are non-transferable and have no cash value. Subscription plans auto-renew; cancellation must be made through the App Store or Google Play at least 24 hours before the renewal date. All purchases are final and non-refundable except as required by applicable law or App Store / Google Play policies. Consultation payments processed via Stripe or Razorpay are captured upon session completion. Platform fees are deducted before lawyer payouts. We are not responsible for failed consultations caused by user device issues, poor internet connectivity, or lawyer unavailability.

9. User Obligations

You agree to:

• Use Features only for lawful personal self-help purposes, including preparing your own matter where the law allows;
• Provide accurate information when interacting with AI features and lawyers;
• Not misuse or redistribute AI-generated outputs as formal legal opinions, as Caunsel's filing or appearance, or as your Employer's advice;
• Not record consultations without the consent of all parties and in compliance with applicable law;
• Not use Features to harass, threaten, or harm any lawyer or other user;
• Not attempt to reverse-engineer, extract training data from, or abuse AI features.

10. Data and Privacy

When you use a Feature, we may process your queries, voice recordings, transcripts, and interaction metadata to provide and improve the Service, in accordance with our Privacy Policy. Content we store on our systems (including text chat, audio chat, panel reviews, Document Vault files, and Cases) is PIN-encrypted at rest. Queries, text, and audio submitted so an AI feature can generate a response are processed by third-party AI model operators; that transmission is not PIN-encrypted, and those operators receive the content in a form they can process under their own data policies. Caunsel is not responsible for those organisations. Do not submit sensitive personal information (health records, financial data, government ID numbers) unless necessary for your query and you are willing to share it with those providers.

11. Disclaimer of Warranties

ALL FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT: (A) ANY FEATURE WILL OPERATE WITHOUT INTERRUPTION OR ERROR; (B) AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, OR LEGALLY CORRECT; (C) ANY LAWYER ON THE PLATFORM IS CURRENTLY LICENSED OR IN GOOD STANDING; OR (D) THE PLATFORM IS FREE FROM SECURITY VULNERABILITIES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, DATA, BUSINESS, REPUTATION, OR ANTICIPATED SAVINGS;
• DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT, INCLUDING PANEL REVIEWS, VOICE OUTPUTS, AND FACT-CHECKER RESULTS;
• DAMAGES ARISING FROM YOUR USE OF FEATURES TO SELF-PREPARE OR SELF-REPRESENT, INCLUDING ANY FILING, HEARING, STRATEGY, SETTLEMENT, OR COURT OR AGENCY OUTCOME;
• DAMAGES ARISING FROM EMAILS DRAFTED, SUGGESTED, OR SENT (OR NOT SENT) THROUGH LEGAL EMAIL, INCLUDING WRONG RECIPIENTS, NON-DELIVERY, OR CLAIMS THAT AN EMAIL WAS NOTICE OR WAS UNLAWFUL;
• DAMAGES ARISING FROM MISSED, INCORRECT, LATE, OR UNDELIVERED TASKS OR REMINDERS, INCLUDING MISSED COURT DATES, FILINGS, OR LIMITATION PERIODS;
• DAMAGES ARISING FROM THE ACTS OR OMISSIONS OF ANY LAWYER ON THE PLATFORM;
• DAMAGES ARISING FROM FAILED, INTERRUPTED, OR LOW-QUALITY VIDEO CONSULTATIONS;
• DAMAGES ARISING FROM UNAUTHORISED ACCESS TO YOUR ACCOUNT OR TRANSMISSIONS;
• CLAIMS AGAINST YOUR EMPLOYER ARISING FROM YOUR VOLUNTARY USE OF THE FEATURES;
• ANY OTHER MATTER BEYOND OUR REASONABLE CONTROL.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CAUNSEL IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN SUCH JURISDICTIONS LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Caunsel LLC and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of any Feature; (b) your reliance on AI-generated content or lawyer advice obtained through the platform; (c) your use of Features to self-prepare or self-represent, including filings and court or agency outcomes; (d) your violation of this Agreement, applicable law, or any third-party rights; (e) any content or information you submit through any Feature; (f) any email you draft, approve, or send through Legal Email; (g) any missed deadline or other time-critical obligation, whether or not a Platform reminder existed; or (h) any claim against your Employer arising from your voluntary use of the Features.

14. Modifications

We may update this Agreement at any time. The updated version will be presented to you in-app before you use a Feature. Continued use after acceptance of the updated Agreement constitutes binding consent to the new terms.

15. Governing Law

This Agreement is governed by the laws of India for users residing in India, and by the laws of the State of Delaware, United States, for all other users, without regard to conflict of law rules. Any legal proceedings must be commenced within one (1) year of the date the cause of action accrues; thereafter any claim is permanently barred.

16. Entire Agreement

This Agreement, together with the Caunsel Terms of Use and Privacy Policy, constitutes the entire agreement between you and the Company regarding the Features and supersedes all prior agreements and understandings.

By tapping "I Accept", you confirm that you have read, understood, and agree to be bound by this Agreement, including that you are using Caunsel as a self-help tool to prepare and, where the law allows, handle your own matter — not as a client of a law firm.
